Panify Terms of Service

Introduction

These Terms of Service ("Terms") are an agreement between you and Panify Limited ("Panify," "we," or "us") governing your use of Panify's websites, applications, and related services (collectively, the "Services"). By accessing or using the Services, you confirm that you have read and agreed to these Terms. If you do not agree, do not use the Services.

Eligibility and Accounts

You must have the legal capacity to enter into this agreement. When creating an account, you must provide accurate information and are responsible for safeguarding your credentials and activity under your account. Please contact Panify promptly if you discover unauthorized use.

Services and AI Output

Panify provides AI content creation and related features. AI output may be inaccurate, incomplete, or similar to output provided to other users. You must review output before using or publishing it and are responsible for ensuring that your use complies with applicable law and third-party rights. Panify does not guarantee that any output is suitable for a particular purpose.

We may add, modify, suspend, or discontinue parts of the Services from time to time for security, compliance, or operational reasons. Where reasonably practicable, material changes will be communicated through the Services or on this page.

User Content

You retain the rights you lawfully hold in content you upload, submit, or generate. You are responsible for having all rights and permissions needed to process that content.

To provide, maintain, secure, and improve the Services, you grant Panify a worldwide, non-exclusive, royalty-free license to host, process, copy, and display your content only as necessary for those purposes or to meet legal obligations. This license ends when the relevant content is deleted from the Services, except where retention is legally required or the content remains in a reasonable backup cycle.

Prohibited Activities

You agree not to:

• Use the Services in violation of any applicable law or regulation
• Infringe another person's intellectual property, privacy, publicity, or other legal rights
• Upload malicious code, disrupt the Services, or attempt unauthorized access to accounts, systems, or networks
• Circumvent usage limits, security measures, or access controls
• Impersonate others, commit fraud, or use the Services to create or distribute unlawful or harmful content

Panify Intellectual Property

Except for your content, the Services and their software, interfaces, branding, text, and other original materials are owned by Panify Limited or its licensors and are protected by applicable intellectual property laws. These Terms do not transfer any ownership rights to you.

Third-Party Services

The Services may connect to third-party models, payment providers, storage providers, or other services. Third-party services are governed by their own terms and privacy policies. Panify is not responsible for their availability, content, or conduct except where applicable law provides otherwise.

Termination

You may stop using the Services at any time. Panify may restrict, suspend, or terminate access if you breach these Terms, create a security or legal risk, or if the Services must be discontinued. We will provide notice where reasonably practicable.

Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, Panify disclaims all express and implied warranties, including warranties of accuracy, uninterrupted or error-free operation, merchantability, fitness for a particular purpose, and non-infringement. This section does not affect statutory rights that cannot lawfully be excluded.

Limitation of Liability

To the fullest extent permitted by law, Panify Limited will not be liable for indirect, incidental, special, consequential, or punitive losses, or for loss of profits, data, goodwill, or business opportunities arising from the use of or inability to use the Services. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Changes to Terms

Panify may update these Terms. The revised version will be posted on this page with its effective date. Where reasonably practicable, we will provide additional notice of material changes. Continued use of the Services after the changes take effect means that you accept the revised Terms.

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. You and Panify Limited submit to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region for disputes arising from these Terms or the Services, except where mandatory consumer protection law provides otherwise.
